Milan/Amsterdam, 8 September 2026
Elevion Group, a European provider of decarbonisation, energy efficiency, and decentralised energy supply solutions and part of CEZ Group, today announced the successful completion of the 100% acquisition of BTS Holdings Italy and its subsidiaries by Elevion Italy.
The acquisition represents Elevion Group’s largest investment in the biogas and biomethane sector to date. It significantly expands the Group’s established renewable gas platform and strengthens Elevion’s position across the entire bioenergy value chain.
Elevion’s existing portfolio of nine biogas and biomethane plants in Northern Italy will be supplemented by nine jointly held facilities through this transaction. Three of these are already operational, while six are currently being converted to biomethane. Consequently, the expanded platform now comprises a total of 18 biogas and biomethane plants.
The transaction goes far beyond merely adding production facilities to the portfolio. BTS brings over 25 years of industry experience, proprietary technologies, deep biological expertise, and a track record of more than 270 realised plants. Its range of services spans from research and development, engineering, and turnkey plant construction to operational management, biological process optimisation, and the operation and maintenance of plants utilising both BTS and third-party technologies.
Combined with Elevion’s existing competencies—including Metrolog’s experience in biogas plant engineering and SERCOO Group’s expertise in feeding technology, combined heat and power (CHP), operations, maintenance, and laboratory services—BTS bolsters Elevion’s ability to cover the entire lifecycle of biogas and biomethane infrastructures.
Jaroslav Macek, CEO of Elevion Group, stated: "With BTS, Elevion is significantly expanding its established European platform for renewable gases. We are combining an enlarged plant portfolio with comprehensive technological, engineering, operational, and biological expertise. In doing so, we are laying a solid foundation for profitable growth in the biomethane sector."
Claudio Sanna, CEO of Elevion Italy, added: "Integrating BTS with Elevion’s existing plants and capabilities strengthens our position across the entire biomethane value chain. It enables us to develop, build, operate, and optimise renewable gas facilities while simultaneously creating additional value across the broader Elevion portfolio."
Franco Lusuriello, CEO of BTS Holdings Italy, remarked: "As part of Elevion Group, BTS gains a strong European industrial platform for its next phase of development. By uniting our technological and industry expertise with Elevion’s capabilities and market presence, we can accelerate innovation and further expand our operations in Europe. I would also like to thank BTS Bioenergy Europe LLC for their crucial contribution to our development in recent years."
The Industrial Logic of the Transaction
Biomethane is a vital component of the European energy transition. It provides a renewable alternative to natural gas, can be transported and utilised via existing gas infrastructure, and supports the decarbonisation of industry, heating, and transport. Furthermore, it contributes to regional energy security.
The acquisition strengthens Elevion’s investment profile through a larger portfolio of renewable gas production assets, comprehensive coverage of the biomethane value chain, and a higher proportion of recurring revenues. This particularly includes operational management, maintenance, laboratory services, biological process optimisation, spare parts supply, and plant retrofitting.
The merger also unlocks new opportunities within Elevion’s broader service offering. The technological, EPC, and biological competencies of BTS perfectly complement Elevion’s existing assets and industrial expertise. Conversely, Elevion’s European footprint and customer relationships provide a robust platform for BTS’s engineering, construction, and O&M technologies and services.
Metrolog contributes relevant engineering experience in the development and construction of biogas infrastructure. The companies within SERCOO Group round out the service portfolio with expertise in feeding technology, CHP, engine servicing, plant maintenance, biogas plant operation, and laboratory services. Together, these capabilities reinforce Elevion’s proficiency in supporting customers and assets throughout the entire lifecycle of renewable gas projects.
The expanded platform also makes it possible to integrate biomethane with the wider Elevion portfolio of energy efficiency solutions, decentralised energy supply, and renewable energy generation. Key application areas include supplying industrial clients with renewable gas, high-efficiency cogeneration, the treatment and valorisation of organic waste streams, the modernisation of existing plants, and integrated solutions for industrial decarbonisation.
Through this integration, Elevion is creating a clearly differentiated European renewable gas platform that fuses the ownership of energy transition assets with industrial technology, engineering, and recurring operational services. The transaction reaffirms the Group's strategy of building scalable, asset-based decarbonisation business models rooted in long-term customer relationships and multiple sources of value creation.
